1. Agreement to Terms

By purchasing, accessing, or using ExpoTrac (“the Service”), you (“Customer,” “User,” or “You”) agree to be bound by these Terms and Conditions (“Terms”).
If you do not agree, do not use the Service.

ExpoTrac, LLC (“Company,” “We,” “Us,” or “Our”) may update these Terms from time to time. If material changes are made, we will provide notice through the Service or via email. Continued use of the Service constitutes acceptance of updated Terms.

2. License and Permitted Use

Upon purchase, ExpoTrac grants you a non-exclusive, non-transferable, limited-term license to use the Service solely for your internal business purposes related to event registration, check-in, attendance tracking, and badge management.

You may not:

  • Resell, sublicense, distribute, or provide the Service to any third party.
  • Use the Service to manage or operate registration services on behalf of another organization without written permission.
  • Allow individuals outside your organization to access or use your account.
  • Reverse engineer, decompile, or create derivative works based on the Service.

The license remains valid only while your subscription or paid term is active.

3. Domain-Based Account Access

To protect license integrity and prevent unauthorized shared use:

  • Each ExpoTrac account is associated with one business entity, defined by the billing information and organizational domain used at purchase.
  • User accounts must utilize email addresses using the same organizational domain (e.g., @yourcompany.com).
  • Accounts may be suspended or terminated if users with unrelated or external domains are added, or if shared-organization usage is detected.
  • If your organization legitimately operates under multiple domains, you must contact ExpoTrac Support for approval before adding users.

If an account is suspended in error, ExpoTrac will make reasonable efforts to restore access once eligibility is verified.

4. Payment Terms

All fees are due at the time of purchase unless otherwise stated in writing.

  • All fees are non-refundable once an account is activated, except where prohibited by law.
  • Subscriptions may renew automatically according to your plan. Renewal pricing may change with advance notice.
  • You are responsible for ensuring payment information is accurate and up to date.

ExpoTrac is not obligated to provide refunds for unused time, early cancellations, or service downtime.

5. Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • Ensuring only authorized personnel access your account.
  • All actions taken under your account.

You must notify ExpoTrac immediately of any unauthorized access or security concerns. ExpoTrac is not responsible for loss or damage resulting from your failure to secure your account.

6. Intellectual Property

ExpoTrac, including all software, features, trademarks, content, and related materials, is the exclusive property of ExpoTrac, LLC.
These Terms do not grant ownership rights. You receive only a limited license as outlined above.

7. Registration Data Ownership and Use

7.1 Ownership

All registration data entered into the Service (“Registration Data”) — including attendee names, contact information, and responses — remains the property of the Customer, not ExpoTrac.

7.2 ExpoTrac’s Use of Data

By using the Service, you grant ExpoTrac the right to:

  • Store, process, and transmit Registration Data for the purpose of operating and improving the Service.
  • Use aggregated or anonymized Registration Data for analytics, reporting, product improvement, and marketing, provided no individual or organization is identifiable.

ExpoTrac does not contact or solicit your registrants directly except where:

  • Required to deliver system notifications (e.g., confirmation emails you generate).
  • Required by law.
    ExpoTrac does not market to your registrants using their data unless you explicitly authorize it in writing.

7.3 Customer Responsibilities

You are responsible for:

  • Obtaining all necessary consents from registrants.
  • Complying with applicable privacy and data protection laws (e.g., CAN-SPAM, CCPA/CPRA, GDPR if applicable).
  • Ensuring your use of Registration Data is lawful.

8. Termination

ExpoTrac may suspend or terminate your access immediately if:

  • These Terms are violated,
  • Unauthorized access is detected,
  • Domain-based licensing rules are violated,
  • Payment obligations are not met.

Upon termination:

  • No refunds will be issued.
  • Customers may request a data export within 14 days unless the account was terminated due to misuse or unlawful activity.

ExpoTrac may terminate the Service entirely with reasonable notice to Customers.

9. Limitation of Liability

To the fullest extent permitted by law:

  • ExpoTrac is not liable for any indirect, incidental, consequential, special, or punitive damages.
  • ExpoTrac is not liable for loss of data, profits, or business interruption.
  • ExpoTrac’s total liability for any claim arising from the Service will not exceed the amount paid by the Customer in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations; in such cases, limitations apply to the fullest extent allowed.

10. Indemnification

You agree to indemnify and hold ExpoTrac harmless from any claims, damages, losses, or expenses arising from:

  • Your use of the Service,
  • Your misuse of Registration Data,
  • Your violation of these Terms or applicable laws,
  • Your organization’s actions or omissions.

11. Force Majeure

ExpoTrac is not responsible for delays or failures caused by events outside our reasonable control, including outages, natural disasters, labor disputes, or failures of third-party providers.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in Connecticut.
