1. Agreement to Terms

By purchasing, accessing, or using ExpoTrac (“the Service”), you (“Customer,” “User,” or “You”) agree to these Terms and Conditions (“Terms”). If you do not agree, do not use the Service.

ExpoTrac, LLC (“Company,” “We,” “Us,” or “Our”) may update these Terms at any time. Material changes will be communicated through the Service or email. Continued use constitutes acceptance of updated Terms.

2. License and Permitted Use

Upon purchase, ExpoTrac grants you a non-exclusive, non-transferable, limited-term license to use the Service solely for your internal business purposes related to event registration, check-in, attendance tracking, and badge management.

You may not:

  • Resell, sublicense, distribute, or provide the Service to any third party.
  • Operate registration services for another organization without written approval.
  • Share access with individuals outside your organization.
  • Reverse engineer or create derivative works of the Service.

The license remains active only while your subscription is current.

3. Domain-Based Account Access

To maintain license integrity:

  • Each account is tied to a single business entity defined by billing details and organizational domain.
  • User accounts must use the same domain as the organization (e.g., @yourcompany.com).
  • Accounts may be suspended if unrelated/external domain users are added or if shared use is detected.
  • Organizations operating multiple legitimate domains must contact support for approval.

Mistaken suspensions will be reinstated upon eligibility verification.

4. Payment Terms

All fees are due at purchase unless otherwise stated.

  • All fees are non-refundable once an account is activated, except where required by law.
  • Subscriptions may auto-renew. Renewal pricing may change with notice.
  • Customers must maintain accurate billing information.

ExpoTrac does not issue refunds for unused time, early cancellation, or downtime.

5. Account Responsibility

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of unauthorized access. ExpoTrac is not liable for damages caused by your failure to secure account access.

6. Intellectual Property

ExpoTrac, including all software, designs, trademarks, and content, remains the exclusive property of ExpoTrac, LLC. No ownership rights are transferred.

7. Registration Data Ownership and Use

7.1 Ownership

All registration data entered into the Service (“Registration Data”) remains the property of the Customer.

7.2 License Granted to ExpoTrac

By using the Service, Customer grants ExpoTrac a worldwide, royalty-free, transferable, sublicensable license to:

  • Store, process, transmit, and analyze Registration Data;
  • Use Registration Data to operate, maintain, and improve the Service;
  • Use Registration Data (individually or in aggregated form) for internal analytics, product development, and market insights;
  • Contact, communicate with, and market to registrants at ExpoTrac’s discretion;
  • Create anonymized or aggregated datasets for indefinite use.

This license survives termination for data already collected.

7.3 Customer Responsibility for Registrant Consent

Customer agrees and acknowledges that:

  • Customer is solely responsible for obtaining any legally required consent from registrants that allows ExpoTrac to store, process, analyze, contact, and market to registrants.
  • Customer represents and warrants that registrants have been informed of and consented to ExpoTrac’s use of their data as described in these Terms.
  • Customer ensures all compliance with privacy laws, including CAN-SPAM, CCPA/CPRA, GDPR (if applicable), and others.

ExpoTrac may rely on Customer’s representation that consent has been lawfully obtained.

7.4 ExpoTrac Marketing to Customers and Trial Users

In addition to rights granted regarding registrants, ExpoTrac may also market directly to:

  • Customers using ExpoTrac on a paid plan,
  • Free trial users,
  • Users who have created an account but not purchased,
  • Former customers or expired trial users.

ExpoTrac may send marketing communications, product updates, promotional offers, newsletters, service announcements, and other outreach via email or other channels. Users and customers may opt out of marketing emails as required by applicable law.

This marketing right applies independently of any customer-provided registration data.

7.5 Data Aggregation

ExpoTrac may use aggregated, de-identified, or anonymized data indefinitely for analytics, benchmarking, industry insights, or product improvement.

8. Termination

ExpoTrac may suspend or terminate access immediately for violation of these Terms, unauthorized use, domain misuse, or nonpayment.

Upon termination:

  • No refunds will be issued.
  • Customers may request a data export within 14 days unless termination was due to misuse.
  • ExpoTrac may retain Registration Data already collected under the license granted in Section 7.

9. Limitation of Liability

To the fullest extent permitted by law:

  • ExpoTrac is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages.
  • ExpoTrac is not liable for loss of data, business interruption, or lost profits.
  • ExpoTrac’s total liability shall not exceed the amount paid by Customer in the 12 months preceding the claim.

Some jurisdictions restrict limitations; the maximum allowed by law will apply.

10. Indemnification

Customer agrees to indemnify and hold ExpoTrac harmless from all claims, liabilities, damages, and expenses arising from:

  • Customer’s use of the Service,
  • Customer’s misuse of Registration Data,
  • Customer’s failure to obtain required registrant consents,
  • Customer’s violation of these Terms or applicable laws.

11. Force Majeure

ExpoTrac is not liable for delays or failures caused by events outside its control, including natural disasters, outages, third-party failures, or acts of God.

12. Governing Law and Venue

These Terms are governed by Connecticut law.
All disputes shall be resolved exclusively in the state or federal courts located in Connecticut.
